# Terms of Service

These terms govern your use of synthautomation.ai and your communications with SYNTH AI LLC ("SYNTH AI," "we," "us"). By using our website, chat assistant, phone lines, or messaging programs, you agree to these terms.

## 1. Our Services

SYNTH AI builds AI-powered automation systems for businesses, including AI voice agents, chatbots, lead-response workflows, and operational automations. Specific client engagements are governed by the proposal, order form, or agreement provided for that engagement; those documents control if they conflict with these terms.

## 2. SMS / Text Messaging Terms

You opt in to SYNTH AI text messages by checking the consent box on our secure checkout page (Stripe) when purchasing a SYNTH AI service. This is the only way we enroll someone in our text messaging program — we do not send texts to anyone who has not completed this step. By checking that box, you agree to receive text messages from SYNTH AI related to your service engagement. Messages may include:

- Demo and meeting information you requested during our conversation

- Appointment confirmations and reminders

- Follow-up messages related to your inquiry or engagement

Program terms:

- **Message frequency varies** based on your interaction with us.

- **Message and data rates may apply** depending on your mobile carrier plan.

- **Opt out at any time** by replying **STOP** to any message. You will receive a final confirmation message, after which no further texts will be sent.

- **Reply HELP** for assistance, or contact us at support@synthautomation.ai or +1 (561) 606-9922.

- Carriers are not liable for delayed or undelivered messages.

- Consent to receive text messages is not a condition of purchasing any goods or services.

- Text messaging originator opt-in data and consent will not be shared with third parties or affiliates for marketing or promotional purposes.

## 3. Products, Billing, and Cancellation

**Plans and pricing.** SYNTH AI offers a set of monthly subscription plans — currently Website, AI Chatbot, AI Voice Agent, and bundles of these. Current pricing, what each plan includes, and any one-time setup fee are stated on the payment link or order form you complete at signup, and that document controls for your subscription.

**Scope.** Each plan has a defined scope. For example, the Website plan includes up to 5 pages on a template base, and the AI Voice Agent plan includes a set number of call minutes per month, billed at $0.20/minute for usage beyond that amount. Work beyond a plan's stated scope will be quoted and billed separately before we begin it.

**Billing.** Subscriptions bill on a recurring monthly basis beginning on the date of your first payment, and renew automatically on that date each month until canceled.

**Fee changes.** We may change subscription pricing from time to time. If we do, we'll provide reasonable advance notice before the change takes effect, at the start of your next billing cycle, and you may cancel before the new pricing applies. Continuing your subscription after a price change takes effect means you agree to the new price.

**Commitment term.** Unless a minimum term is stated on your payment link or order form, subscriptions are month-to-month with no minimum commitment. Where a minimum term or rate-lock period applies, it will be disclosed at signup.

**Cancellation.** You may cancel at any time by emailing support@synthautomation.ai. Cancellation takes effect at your next renewal date; we do not refund the current billing period. Because SYNTH AI-built systems run on SYNTH AI infrastructure, the system stops working immediately upon cancellation or non-payment.

**Refunds and disputes.** Except as expressly stated at checkout or in your client agreement, payments are non-refundable once services have commenced. Please raise any billing dispute with us directly at support@synthautomation.ai before initiating a chargeback, so we can resolve it promptly.

**Suspected fraud.** We may refuse, cancel, or suspend an order or subscription at any time if we suspect fraud, an unauthorized transaction, or an illegal transaction.

**Case studies and testimonials.** Certain plans require, as part of checkout, your agreement to let SYNTH AI feature your business, results, and feedback as a written case study or testimonial in our marketing materials, website, and sales communications. We will not disclose confidential business information beyond what's needed to describe your results, and you may request removal of a published case study at any time by contacting support@synthautomation.ai.

## 4. Client Compliance Obligations

Where SYNTH AI builds or operates communication systems on a client's behalf (including SMS, voice, or email automations), the client is the sender and originator of those communications. The client is solely responsible for:

- Obtaining and documenting all legally required consents from its own contacts and customers before messages or calls are initiated

- Honoring opt-out requests and maintaining suppression lists

- Complying with applicable communications and consumer-protection laws, including the TCPA, the Florida Telephone Solicitation Act, CAN-SPAM, and carrier and registry requirements (including A2P 10DLC registration where applicable)

- The content, timing, and recipients of communications sent through systems we build

- Not using systems we build to process protected health information (PHI) or payment card data (PCI), unless we've agreed with you in writing beforehand to configure the system for that purpose

SYNTH AI provides technology and implementation services and does not provide legal advice. Clients agree to indemnify SYNTH AI against claims arising from communications they originate through systems we build or operate.

## 5. Acceptable Use

You agree not to use our website or communication channels to transmit unlawful, harmful, or infringing content, attempt to gain unauthorized access to our systems, or interfere with the operation of our services.

## 6. Intellectual Property

All content on this website — text, graphics, logos, and software — is the property of SYNTH AI LLC or its licensors and is protected by applicable intellectual property laws. You may not reproduce or distribute it without our written permission.

**Aggregated data.** We may compile and use anonymized, aggregated data and insights drawn from how our systems are used across clients — for example, to improve our AI assistant templates or understand common automation needs — in a way that does not identify any individual client or their customers. We own this aggregated data.

**Client logo usage.** If you become a SYNTH AI client, you grant us a non-exclusive, royalty-free right to display your business name and logo on our website, marketing materials, and case studies, solely to reference you as a client of SYNTH AI. We'll use your logo in a professional manner and in accordance with any brand guidelines you provide. This right remains in effect for the duration of your engagement with us and any renewal, and you may revoke it at any time by contacting support@synthautomation.ai.

## 7. Disclaimers

Our website and general communications are provided "as is" without warranties of any kind, express or implied. Information on this site is for general informational purposes and does not constitute a guarantee of specific results. Warranties applicable to client engagements, if any, are stated in the applicable client agreement.

We are not liable for any delay or failure to perform caused by events outside our reasonable control, including outages of third-party providers, natural disasters, or other circumstances beyond our control.

## 8. Limitation of Liability

To the maximum extent permitted by law, SYNTH AI LLC will not be liable for indirect, incidental, special, or consequential damages arising from your use of this website or our communication channels.

## 9. Termination

We may suspend or terminate your access to our website, chat assistant, phone lines, or messaging programs at any time if you breach these terms. You may stop using our services, or cancel your subscription, at any time as described in Section 3.

Provisions of these terms that by their nature should survive termination — including intellectual property rights, warranty disclaimers, indemnification, and limitations of liability — will survive.

## 10. Governing Law

These terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles. Any disputes will be resolved in the state or federal courts located in Broward County, Florida.

## 11. Changes to These Terms

We may update these terms from time to time. Continued use of our website or communication channels after changes are posted constitutes acceptance of the revised terms.
